Why this opportunity

01

Irreplaceable land

About 1.2 km of west-facing freehold coastline on the Budva Riviera, debt-free and independently valued at about US$53M.

02

De-risked entitlements

Planning approvals for both phases are secured, removing a key risk of coastal development.

03

Signed global brand

An executed Nammos Hotel Management Agreement supports premium room rates and branded-residence pricing.

04

Proven delivery partner

Mereha Development LLC manages development; its experience includes Atlantis The Royal, Dubai.

05

Early cash generation

Phased sales of residences and mansions produce cash during construction and reduce the equity requirement.

06

EU accession upside

The front-runner EU candidate targets membership by 2028. The sponsors estimate US$58–93M of upside, none of it in the base case.

07

Direct equity

Invested directly in the land-owning company, with a board seat, minority protections and use-of-funds controls sought.

08

Investor-first terms

Fee paid only after capital is returned, 100% fee offset, 8% preferred return, escrow and Manager co-investment.

03 · The Project

Nammos Luxury Residences

05 · The market

Montenegro: a coast in ascent

The coast drives Montenegro’s tourism economy, and the country is the front-runner to become the European Union’s next member. Both trends support demand for branded luxury product and institutional exit liquidity.

150–250 bps

Potential cap-rate compression

The sponsors estimate, from comparable accession markets, that EU membership could compress hospitality cap rates by 150–250 bps, worth about US$58–93M of additional value. Because timing is uncertain, this upside is excluded from the base case.

Already on the euro

Montenegro uses the euro, which aligns pricing with European buyers and removes Project-level currency conversion.

11 · Key risks

Risks and mitigants

This investment carries substantial risk, including the loss of all capital. The key risks are summarised below; the full Risk Factors are set out in the Private Placement Memorandum.

Construction cost overruns and delays
Development projects are exposed to cost overruns, contractor default, material and labour shortages and defects.
Mitigants: experienced development manager; budget contingency; use-of-funds controls; veto over budget overruns.
Residential sales below plan
Ultra-luxury demand is cyclical and sensitive to economic conditions, interest rates, geopolitics and travel.
Mitigants: phased release; global brand premium; scarcity of beachfront product; pre-sales reduce the equity requirement.
Minority position in the Project Company
The sponsors will control the Project Company. Protections may not be obtained in full or may be hard to enforce.
Mitigants: board representation, reserved matters, anti-dilution and exit rights sought in the shareholders’ agreement.
Funding of the remaining new equity
The Project needs ~US$209M of new equity; a shortfall could delay or scale back the Project or dilute the Fund.
Mitigants: sponsor land equity already at risk; pre-sales; Fund capital released against milestones.
Montenegro country and legal risk
Includes political change, a less developed legal system, slower enforcement of contracts and shareholder rights, title issues and changes to tax or investment rules.
Mitigants: debt-free freehold title; local counsel due diligence; an EU-aligned reform path.
EU accession delays
Accession may be delayed or may not occur, and its effect on values may differ from expectations.
Mitigant: not included in the base case — pure upside if achieved.
Currency (EUR/USD)
Units and distributions are in U.S. dollars, while the Project operates in euros. A weaker euro would reduce dollar returns.
Mitigant: optional hedging at the Manager’s discretion.
Tax
Montenegrin withholding tax of 15% may apply to dividends and gains paid to non-residents. U.S. PFIC/CFC rules and U.S. estate tax may affect some investors.
Mitigants: tax structuring review before the First Closing; impact shown transparently in the returns illustration; optional non-U.S. feeder.
Illiquidity and transfer restrictions
Units cannot be redeemed, have no market and are subject to securities-law transfer restrictions (including a one-year Regulation S distribution compliance period).
Mitigants: defined target exit by Q4 2029 and exit rights sought. Investors should expect to hold until realisation.
Natural hazards
The coastal site is exposed to seismic activity, storms, erosion and long-term climate effects.
Mitigants: engineering due diligence and insurance (which may not cover all losses).

Mitigants reduce but do not eliminate risk.

13 · Frequently asked questions

Questions investors ask

Who can invest?
U.S. persons who are accredited investors under Rule 501(a) of Regulation D, and non-U.S. persons who are professional, qualified or accredited investors (or the equivalent) in their own jurisdiction. The Fund is limited to 99 investors in total.
How is accredited status verified for U.S. investors?
Under Rule 506(c), self-certification alone is not enough. Because the minimums are at least US$200,000 (individuals) and US$1,000,000 (entities), verification can follow the SEC staff’s March 2025 no-action guidance: a written representation of accredited status and that the investment is not third-party financed. Where a minimum is waived, a letter from a broker-dealer, registered adviser, attorney or CPA is required.
What is the minimum investment?
US$500,000 for individuals and US$1,000,000 for entities. Founding Class F terms apply at the First Closing (from US$1,000,000) or to subscriptions of US$5,000,000 or more.
What happens if the First Closing is not reached?
Subscription monies are held by a U.S. escrow agent. If US$10,000,000 is not reached by the stated date, all monies are returned in full, without deduction.
What fees do I pay?
A management fee of 1.5% (Class A) or 1.0% (Class F) a year, which accrues but is paid only from distributions after you have received your capital back. Any fees paid by the Project to Privaat Capital on Fund capital are credited 100% against it. Carried interest of 20% (A) or 15% (F) applies only after an 8% preferred return. Organisational costs are capped at 1%, and placement agent fees are paid by the Manager.
When do I get my money back?
The target is Q4 2029, from residential sales and a sale or refinancing of the Project, with up to two one-year extensions. There are no redemptions; investors should expect to hold Units until realisation.
Is everything in U.S. dollars?
Yes — subscriptions, distributions and reporting. The Project itself operates in euros, so returns are exposed to the EUR/USD rate; the Manager may hedge at its discretion.
How am I taxed?
The Fund is a U.S. partnership. U.S. investors receive a Schedule K-1. Non-U.S. investors are generally not expected to have U.S. filing obligations, as the Fund holds no U.S. assets, but should consider U.S. estate tax and may prefer the optional non-U.S. feeder. Montenegrin withholding tax may apply. Please consult your own tax adviser.
Can I transfer my Units?
Only with the Managing Member’s consent and in compliance with securities laws. Units sold under Regulation S are subject to a one-year distribution compliance period.
What will I receive as an investor?
Quarterly reports on construction, sales and budget; audited annual accounts; tax reporting; an annual investor meeting with an optional site visit; and access to the Privaat Connect portal.
